1. Acceptance and scope
These Terms form an agreement between you and Tarrosa Software Development Services, the Philippine sole proprietorship that operates Atrium. By creating an account, accepting an invitation, or accessing or using Atrium, you agree to these Terms.
If you use Atrium for an organization, you also agree on that organization's behalf and represent that you have authority to do so. An order form, subscription agreement, data-processing agreement, or other written agreement may add or replace terms for a particular customer. If there is a conflict, that signed agreement controls for its scope.
2. Eligibility and organizational authority
You must have legal capacity to enter into these Terms. Invitation-based accounts may be used only by the intended recipient and for the organization or role identified in the invitation. You must not accept an invitation or act for an organization without proper authority.
3. Accounts and security
You must provide accurate account information, keep it current, protect your credentials, and use only accounts and roles assigned to you. You are responsible for activity under your account except to the extent caused by Atrium's breach of these Terms or applicable law.
Notify us promptly at hello@atriumos.coif you suspect unauthorized access, credential compromise, or misuse. We may require verification before restoring or changing access.
4. Service and license
Subject to these Terms and any applicable customer agreement, we grant authorized users a limited, non-exclusive, non-transferable, revocable right to access and use the hosted Atrium service during the authorized relationship. The license is for internal estate, association, property, finance, and operations activities and does not transfer ownership of the software or any Atrium intellectual property.
5. Customer responsibilities and acceptable use
You and the organization you represent must:
- use Atrium lawfully and only for authorized business purposes;
- have a lawful basis and proper authority for personal, financial, and operational data entered into the service;
- review records, calculations, approvals, recipients, and exports before relying on or distributing them; and
- cooperate with reasonable security, support, and compliance requests.
You must not:
- gain or attempt unauthorized access to another account, organization, system, or data set;
- probe, disrupt, overload, bypass, or interfere with security or service operation;
- upload malware or content that is unlawful, deceptive, infringing, abusive, or harmful;
- use Atrium for unlawful surveillance, discrimination, fraud, or misuse of personal or financial data;
- copy, resell, sublicense, scrape, or reverse engineer the service except where applicable law does not allow that restriction; or
- misrepresent affiliation, authority, identity, records, approvals, payments, or communications.
6. Customer data
As between the parties, customers and users retain their rights in information and content they submit to Atrium. They grant us the limited rights needed to host, copy, organize, calculate, display, transmit, back up, secure, support, and otherwise process that data to provide the service and comply with law.
Customer administrators control workspace membership, roles, records, configured features, and recipients. Customers are responsible for instructions given through their accounts and for resolving internal authority, accuracy, retention, and access issues.
7. Privacy and confidentiality
Our Privacy Policy explains how we process personal data. Each customer is responsible for notices, lawful grounds, permissions, and instructions required for data it controls. We will use non-public customer data to provide and secure the service, follow lawful instructions, meet legal obligations, and exercise legal rights.
8. Fees
Fees, taxes, billing periods, renewal, cancellation, and refund terms apply only when stated in an order form, subscription agreement, or other written commercial agreement. If an amount is overdue under such an agreement, we may suspend the affected paid service after any notice or cure period required by that agreement or applicable law.
9. Third-party and optional services
Atrium may depend on or connect to authentication, hosting, email, map, weather, storage, payment, or other third-party services. Their availability, data, and behavior may change and are governed by their own terms. We are not responsible for a third party's independent service, but remain responsible for our own obligations under applicable law.
10. Service changes and availability
We may maintain, update, improve, or change Atrium and may temporarily interrupt access for maintenance, security, provider failure, emergencies, or events beyond reasonable control. We will use reasonable efforts to avoid unnecessary disruption and to give notice of materially adverse changes where practicable. These Terms do not create an uptime or service-level guarantee unless one appears in a separate signed agreement.
11. Suspension and termination
We may restrict or suspend access when reasonably necessary to protect users or systems, investigate suspected unlawful use, respond to a legal requirement, address non-payment under an applicable agreement, or remedy a material breach. Where practicable, we will provide notice and an opportunity to cure before suspension.
You may stop using Atrium at any time. Organization-level termination, account closure, exports, and post-termination data handling are governed by the applicable customer agreement and our Privacy Policy. Terms that by nature should survive termination, including ownership, confidentiality, disclaimers, liability, and dispute provisions, remain effective.
12. Records and professional advice
Customer organizations are responsible for reviewing Atrium records and maintaining any independent copies required by law, policy, audit practice, or business continuity needs. Atrium is an operational recordkeeping and workflow tool. It is not accounting, legal, tax, engineering, or financial advice, and it does not replace professional judgment, statutory books, bank records, permits, or legally required source documents.
13. Intellectual property and feedback
Atrium and its software, design, documentation, branding, and service content are owned by us or our licensors and protected by applicable law. Except for the limited license above, no rights are granted. If you provide feedback, you allow us to use it without restriction or payment, provided we do not publicly identify you without permission.
14. Disclaimers
To the maximum extent permitted by law, Atrium is provided on an “as available” basis. We do not warrant that every feature will be uninterrupted or error-free, that third-party information will always be accurate or available, or that customer-entered records are complete or correct. Nothing in these Terms excludes a warranty, right, or remedy that applicable law does not allow the parties to exclude.
15. Liability and indemnity
To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, exemplary, or consequential loss, or for lost profits, revenue, goodwill, or business opportunity arising from these Terms. This exclusion does not apply where prohibited by law or to liability that cannot lawfully be limited.
You and the organization you represent are responsible for claims arising from unlawful customer data, instructions, communications, or misuse of Atrium, and will indemnify us against resulting third-party claims to the extent permitted by law. We remain responsible for claims caused by our own breach, negligence, or unlawful conduct as applicable.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules. Before filing a claim, the parties will attempt in good faith to resolve the dispute through written notice to hello@atriumos.co. Unresolved disputes may be brought before courts with proper jurisdiction, subject to any different dispute process in a signed customer agreement or required by law.
17. Changes, notices, and general terms
We may update these Terms for legal, security, operational, or service changes. We will update the effective date and use reasonable means to notify affected users before a material change takes effect where appropriate. Continued use after the effective date constitutes acceptance where permitted by law; if you do not agree, stop using the service.
Notices may be delivered through Atrium, account email, or the contact details in an applicable agreement. You may not assign these Terms without our consent, but we may assign them as part of a legitimate business transfer. If a provision is unenforceable, the rest remains effective. A failure to enforce a provision is not a waiver. These Terms and any applicable signed agreements are the entire agreement about their subject matter.
